About The Role:
As a CBRE Senior Tax Manager – Corporate and Commercial Tax and Legal Entity Governance, you will support the Senior Director – Corporate and Commercial Tax and Legal Entity Governance in furthering the objectives of CBRE through critical functions including tax research, writing, analysis, and project management.
The focus of this role will be on U.S. and international tax issues related to CBRE’s commercial operations, internal/external financing arrangements, cash management, tax attribute tracking and monetization, and legal entity governance, including policy setting and global entity integration/rationalization.
What You'll Do:
Corporate and Commercial Tax
Team with the U.S. and Global Indirect Tax functions to provide tax advice to business partners on the tax implications of commercial transactions and ensure related commercial agreements are consistent with global tax structures.
Research and draft technical and non-technical research and compliance memoranda, including documentation of tax positions for internal controls related to Tax.
Partner with the Treasury, Finance, Legal, and International Tax Planning functions with respect to global liquidity management, including implementing tax efficient intercompany loan issuances, settlements, and extension strategies, clearing of historical trade payables, cash repatriation opportunities and foreign currency hedging plans.
Develop detailed, end-to-end step plans (covering tax structuring and related tax consequences) for transactions, projects, and new business initiatives.
Support the tax reporting and compliance function, serving as an advisor and reviewer in the reporting and compliance process.
Manage external service providers to optimally complete projects on time and within approved budgets.
Assist in the negotiation and acquisition of transferable tax credits, as necessary.
Review and supervise changes in U.S. tax legislation, rulings, regulations, and litigation, understand the meaningful impact, prepare models, recommend and implement adaptable action to manage existing positions and benefit new opportunities.
Legal Entity Governance
Partner with Legal and other functional areas to establish and govern a legal entity management framework for new entities and existing entities.
Support the development of a comprehensive, automated finance workflow for end-to-end legal entity management.
Support the development and execution of ongoing legal entity rationalization programs and assist in establishing the finance governance framework for formation, maintenance, and dissolution of legal entities.
Support the development and execution of country-level legal entity framework (i.e. how many operating companies per country, use of holding companies, stakeholder owners, information management, audited financial and tax return compliance).
Support the centralization of processes related to booking certain transactions between related parties.
Work with functional leads to develop and provide Corporate Development with a detailed view of M&A deal and integration costs for underwriting model.
Facilitate finance-specific approvals relating to the underwriting model and due diligence.
Supervise the establishment and execution of an M&A integration plan.
What You'll Need:

Bachelor’s Degree in Accounting, Finance or related field required. J.D. degree preferred. 5+ years experience in public and/or private accounting or law firm.
Experience in federal corporate income tax, particularly corporate formations, liquidations, distributions, and reorganizations, business interest and expenses, loss limitation rules, debt/equity determinations, debt cancellations and modifications, affiliated group and consolidated return issues, and tax treaty analysis. Basic understanding of subchapter K, sales/use tax, and value added tax preferred.
Ability to distinguish between important and minor obstacles to focus on the critical and complete projects
Comfortable running several projects simultaneously
Ability to meaningfully collaborate and communicate cross-functionally with legal, tax, treasury and controllership
Ability to partner with people and functions to drive the design and implementation of new or improved processes and procedures
Ability to deliver concise and informative executive summaries for senior management
Knowledge of corporate governance and legal entity management a plus
Experience with post-merger integration and M&A a plus
Detail oriented with an ability to understand the strategic vision and direction for the “big picture”
Experience working with various functions and businesses across multiple geographies.
